The “MBGC Project – Industrial Research and Development” aims to establish a series of biogas plants designed to eliminate organic waste, including manure and trimmings, without incurring disposal costs. The process, termed “linear anaerobic digestion with selective extraction”, also provides revenue opportunities through the use or sale of byproducts generated during the process. The project focuses on customizing the biogas plants to fit the size of interested companies.

The entire project is aligned with “Industry 4.0” principles, and the proposing entity is classified as an “Innovative Social Start-up”, as documented in the available records. This classification provides significant fiscal benefits for clients, including a 50% tax credit on the provided equipment and reduced IRES/IRAP tax rates for the following year after the equipment is put into operation. As a result, the acquisition is essentially “cost-free” for the client, with automatic tax benefits applied during financial reporting.

Business Plan

The “MBGC – MiniBioGasContinuous” project aims to establish a pre-assembly and testing site for the production of MBGC tanks. The objectives include creating the necessary procedures and manuals for production and targeting industries involved in prefabrication (concrete), hydro-mechanics, financial investors, and operators in the biogas/biomethane sector.

The project intends to set up a production site that covers the process from design to assembly (for pre-delivery and rapid installation). The procedures will be tailored according to the production agreements with clients, based on available feedstocks and the intended outputs. The solutions will utilize standard products from the water management and prefabricated markets, which will be assembled and tested to optimize linear anaerobic digestion with selective and corrective extraction. Collaborating with internal and external laboratories, the site will act as remote support for the installations under EPC responsibilities.

Commercial Title

License Agreement for Know-How on Patent IT, No. 0001427413 Location: Milan; Date: ….; Jurisdiction: Milan (Italy); unless otherwise specified, reference is made to the prevailing jurisprudence on intellectual property and according to treaties in force between the parties’ countries (under the Paris Convention).

Between:
Lavanga Vito, based in Milan, Italy, referred to as the “Licensor” (of the one part);
and “MBGC JWTeam” (to be established as Srls), represented by Battezzati Stefano, referred to as the “Licensee” (of the other part);

Whereas:
This agreement shall be ratified upon the formal establishment of MBGC JWTeam;
The Licensor possesses technical, commercial, and application-specific know-how relevant to Patent IT, No. 0001427413, which is of interest to the Licensee;

The following terms are agreed and stipulated:

Article 1 – Scope of the License
The Licensor authorizes the Licensee to produce and sell products using the know-how and patent, provided in both written and verbal form, either in person or electronically.

Article 2 – License Conditions
The license is non-transferable to third parties, except with the prior consent of the Licensor.
The annual fee shall be included in the economic balance sheet (B.7, pursuant to Article 2425 of the Italian Civil Code, which qualifies for the Patent Box incentive with reduced IRES/IRAP in Italy).
